Terms of Use

1. Acceptance

By downloading, installing, or using LedgerSprout (the "Software"), you agree to these Terms of Use. If you do not agree, do not use the Software.

2. License Grant

SuperDave Lab grants you a personal, non-exclusive, non-transferable license to install and use LedgerSprout on devices you own or control, subject to these Terms and, where applicable, your purchased license tier.

• Community Edition — Free to use for personal and professional purposes with the stated transaction limits.
• Pro Edition — Requires a valid license key. One license key is valid for one natural person. Sharing a license key across multiple users, teams, or organizations is not permitted.

3. Restrictions

You may not:

• Reverse-engineer, decompile, or disassemble the Software beyond what applicable law expressly permits.
• Redistribute, sublicense, rent, or sell the Software or your license key.
• Use the Software to process documents on behalf of third parties as a service without a separate written agreement with SuperDave Lab.
• Remove or alter any copyright, trademark, or proprietary notices in the Software.

4. Updates and Version Support

A Pro license entitles you to all releases issued during the licensed period (one year from purchase). Updates after the license period require renewal. Community Edition receives updates at our discretion.

5. Privacy and Data Processing

LedgerSprout processes all files locally on your device. No financial data, document content, or personal information is transmitted to SuperDave Lab or any third party during normal use. See our Privacy Policy for full details.

The only network connections made by the Software are:

• Checking for software updates (version number only, on startup and on demand)
• Browsing the public parser registry (index fetch only, on demand)
• Submitting a support or feedback request (on explicit user action)

6. Accuracy Disclaimer

LedgerSprout uses automated parsing to extract transaction data from PDF bank statements. Results are generally accurate but may contain errors due to variations in statement formatting, image quality, or unsupported layouts. Always verify exported data before using it for financial, tax, legal, or accounting purposes. SuperDave Lab is not liable for decisions made based on parsed output.

7. Intellectual Property

LedgerSprout, its parser library, and all associated assets are the property of SuperDave Lab. User-created parsers and category rules you author yourself remain your property.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUPERDAVE LAB DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUPERDAVE LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Refund Policy

Pro licenses include a 14-day refund guarantee from the date of purchase. To request a refund, email ledgersales@superdavelab.com within 14 days of your purchase date.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the applicable courts.

12. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page with a new effective date. Continued use of the Software after changes are posted constitutes acceptance of the revised Terms.
